1. Who We Are; Relationship to Attorneys

1.1 Not a Law Firm; No Legal Advice

ReferU.AI is not a law firm and does not provide legal advice or legal representation. We provide technology that helps users describe their situations, identify potentially relevant attorneys using filters and search criteria, and facilitate introductions and scheduling.

Nothing on or through the Services is intended as, or should be taken as, legal advice. You should consult a qualified attorney for legal advice tailored to your circumstances.

1.2 No Attorney–Client Relationship via the Services

Your use of the Services, including any communications with or through the Services (such as interactions with our AI assistants “Link” or “Fi”), does not create an attorney–client relationship between you and ReferU.AI, or between you and any attorney.

An attorney–client relationship may be created only if and when you and an attorney separately agree to such a relationship, typically in a written engagement letter or similar agreement.

1.3 Independence of Attorneys

Attorneys and law firms you may encounter through the Services are independent third parties, not employees, agents, or partners of ReferU.AI. They:

exercise independent professional judgment,
decide whether to contact you or accept any matter, and
are solely responsible for their services, communications, and compliance with all applicable professional and ethical rules.

ReferU.AI does not supervise attorneys, does not control how they practice law, and does not share in any legal fees they may charge you.

1.4 No Recommendations or Endorsements

We do not recommend, endorse, or vouch for any particular attorney, law firm, or legal outcome. When we use words such as “match,” “introduction,” or similar terms, we mean only that our systems have used information you provide and data we maintain to apply filters and search criteria (for example, practice area, court, jurisdiction, language, availability, or other objective attributes) to identify attorneys who may be relevant to your expressed needs.

We do not represent that any attorney we display is the “best,” “right,” or “top” attorney for you.
You remain free to choose any attorney, including attorneys not identified through the Services.
You are responsible for evaluating whether any attorney is appropriate for you

2. Eligibility and Accounts

Age and Capacity. You must be at least 18 years old and have the legal capacity to agree to these Terms. If you use the Services on behalf of another person or entity, you represent that you are authorized to do so and that they agree to these Terms.
Account Registration & Accuracy. Some features require an account. You agree to provide accurate, current, and complete information and to keep it updated.
Authentication (Email & Text). To discourage spam and misuse, you may be required to verify your identity via email and/or text. You consent to receive verification codes and related operational messages. Standard message and data rates may apply.
Account Security. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at support@referu.ai if you suspect unauthorized access.

3. Consent to Be Contacted by Attorneys; Your Responsibility for Deadlines

By submitting information or a matter through the Services, you agree that attorneys may contact you (for example, by phone, email, text, or other communication channels) for the limited purposes of:

evaluating whether they may be able to assist you, and
coordinating consultations or next steps.

Use of the Services does not create an attorney–client relationship, and attorney‑client confidentiality or privilege does not automatically apply to your submissions through the Services.

Each attorney chooses independently whether to contact you or accept your matter. We do not guarantee that any attorney will respond, agree to represent you, or meet any deadlines.

If your situation involves deadlines or urgent constraints (including statutes of limitation or filing deadlines), you are solely responsible for:

promptly seeking legal representation through whatever channels you deem appropriate (including outside of ReferU.AI), and
taking any steps required to protect your rights and meet all legal deadlines.

To stop communications from a specific attorney, contact that attorney directly. To manage certain communications from ReferU.AI, see Section 18 (Notices; Communications).

4. AI Assistants (“Link” and “Fi”) — Important Disclaimers

Our Services may include access to AI‑powered assistants and tools, including “Link” and “Fi.”

No Legal Advice. Link, Fi, and any other AI‑powered features are not licensed attorneys. They do not provide legal advice, legal opinions, or legal representation, and they are not a substitute for advice from a qualified attorney.
General Information Only. Any outputs they generate are for general informational and operational purposes only (for example, helping you phrase your questions or locate information) and may be incomplete, inaccurate, or not applicable to your specific situation.
Reliance at Your Own Risk. ReferU.AI makes no representations or warranties regarding the accuracy, completeness, or usefulness of any AI outputs or other content on the Services. You agree that you rely on such information at your own risk and that you will not treat it as a substitute for independent legal advice.
Matching, Not Recommending. Our AI-powered features, including “Link” and “Fi,” rely on machine-learning models and may sometimes generate content that is inaccurate, incomplete, or inconsistent with our policies or instructions. For example, they may inadvertently use phrasing such as “recommend,” “best,” “top,” or “right attorney” when describing attorneys or options. Any such statements are automatically generated, do not reflect an evaluation, recommendation, endorsement, or guarantee by ReferU.AI, and should not be treated as legal advice or as a promise of any particular outcome. You are responsible for independently evaluating any attorney and for deciding whether to hire any attorney identified through the Services.
No Guarantee of Results. Any descriptions of attorneys, matters, statistics, case examples, or potential outcomes provided through the Services—including any generated by AI-powered features—are for informational purposes only and are not promises or guarantees of results. Past performance, docket history, or metrics relating to any attorney do not guarantee similar outcomes in any other matter. ReferU.AI is not responsible for the outcome of any legal matter you pursue with any attorney, even if your connection with that attorney was facilitated through the Services.

5. Attorney Advertising and Ethics‑Related Notices

5.1 Attorney Advertising

In many jurisdictions, the Services and attorney profiles or information displayed through the Services may be considered attorney advertising. Past results, statistics, metrics, or case examples (if any) are provided for informational purposes only and:

may be based on incomplete or evolving public records, and
do not guarantee similar results for any other matter.

5.2 How We Identify Attorneys

Our systems use the information you provide and information from public records and other sources to apply filters and search criteria (for example, practice area, jurisdiction, court, types of matters handled, years in practice, languages, and other factual attributes) to identify attorneys you may wish to contact.

We do not evaluate the legal merits of your matter when deciding which attorneys to display.
We do not represent that any attorney we display is better qualified than others or is the “best” choice for yourmatter.
Any lists, ordering, or displays are based on filters, availability, and other neutral criteria we determine in our discretion, and may change over time.

5.3 How Attorneys Pay ReferU.AI

Use of the Services is currently free for users seeking attorneys. ReferU.AI may receive fees from attorneys or law firms (for example, flat fees tied to consultations or other marketing events) for technology, platform, and advertising/lead‑generation services. These payments:

are not contingent on whether you hire the attorney, the fees you pay, or the outcome of any matter;
are intended to be treated by attorneys as reasonable costs of advertising or lead generation or similar permitted payments under applicable professional rules;
are not added on to any legal fees you owe and are not charged to you; and
are not a share of legal fees or a percentage of any recovery.

We do not set or control attorneys’ fees, and we do not share in any legal fees charged to or collected from you.

5.4 If You Are an Attorney Using the Services

If you are an attorney or law firm using the Services, you are solely responsible for:

understanding and complying with all rules of professional conduct and ethics applicable to you, including those governing advertising, solicitation, lead generation, “qualifying providers,” lawyer referral services, payment for recommendations, and fee sharing;
making any disclosures to clients or prospective clients required by your jurisdiction (for example, disclosures that you pay fees to ReferU.AI for advertising or lead‑generation services); and
ensuring that your use of the Services is consistent with your professional obligations.

Nothing in these Terms is intended to require or encourage any attorney to violate applicable professional rules.

6. Privacy; Data Security

Privacy Policy. Our Privacy Policy explains how we collect, use, share, and protect information. It forms part of these Terms. By using the Services, you consent to our collection and use of information as described there.
Security; Risk Acknowledgment. We implement technical and organizational measures described in the Privacy Policy to protect your information. However, no method of transmission or storage is perfectly secure. You understand that there is some risk that unauthorized third parties may access your information, and you provide information to the Services at your own risk.

7. User Content and License

7.1 Your Content

You may submit descriptions, documents, data, messages, and other materials to or through the Services (collectively, “User Content”). You represent and warrant that:

you have all necessary rights to submit User Content;
User Content does not violate any law or third‑party rights; and
User Content is truthful and not misleading to the best of your knowledge (for example, you do not intentionally misrepresent your identity, matter, or budget).

7.2 License to ReferU.AI

You grant ReferU.AI a limited, non‑exclusive, worldwide, royalty‑free license to host, process, transmit, display, and otherwise use User Content solely:

to provide, maintain, and operate the Services;
to facilitate introductions and communications with attorneys; and
to improve the Services and our internal processes, as described in the Privacy Policy.

Unless we clearly state otherwise in a separate notice or consent, we do not use User Content submitted through consumer‑facing workflows to train generalized AI models.

7.3 User Content Shared with Attorneys

If you choose to submit User Content for the purpose of being connected with attorneys, you authorize us to share relevant portions of that User Content with those attorneys or their staff. Once shared, attorneys may retain and use that information in accordance with their own obligations and policies, which we do not control.

Submitting information through ReferU.AI does not automatically create any duty of confidentiality on the part of attorneys; such duties, if any, arise under applicable law and the rules of professional conduct.

7.4 Prohibited Content

You agree not to submit User Content that:

is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or invasive of another’s privacy;
infringes or misappropriates intellectual property or other rights;
contains malicious code, viruses, or attempts to circumvent security; or
attempts to solicit or facilitate unlawful conduct.

We may remove or restrict access to any User Content that we believe violates these Terms or applicable law.

8. Acceptable Use

You agree not to (and not to permit or encourage anyone else to):

misuse the Services, including spamming or harassing attorneys or other users;
impersonate any person or entity, or misrepresent your identity, qualifications, or matter;
attempt to bypass or defeat security controls, rate limits, or access controls;
use any automated system (such as bots, scrapers, or crawlers) to access the Services, except as expressly permitted by us;
reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent such restriction is prohibited by law;
use the Services to engage in any unlawful activity or in violation of any professional or ethical rules that apply to you; or
interfere with or disrupt the integrity or performance of the Services.

We may monitor use of the Services to detect and respond to violations of these Terms or misuse.

9. Fees

9.1 Users Seeking Attorneys

For users seeking attorneys, use of the Services is currently free. If we introduce any user‑facing fees in the future, we will notify you and give you an opportunity to review changes before they take effect.

9.2 Fees Paid by Attorneys

ReferU.AI may receive fees from attorneys or law firms for technology, marketing, platform, or lead‑generation services (for example, flat fees related to consultations facilitated through the Services). These arrangements are between us and the attorneys and:

do not increase the legal fees you pay to any attorney;
are not contingent on whether you hire the attorney, the fees you pay, or the outcome of any matter; and
are not a share of, or percentage of, any legal fees or recovery.

Any fee arrangements between you and an attorney are separate from these Terms and are governed solely by your agreement with that attorney.

10. Third‑Party Services and Communications

The Services may link to or integrate with third‑party websites, products, or services (including communication services and tools used by attorneys). ReferU.AI does not control and is not responsible for:

the content, policies, or practices of third‑party services; or
any communications or agreements between you and third‑party providers, including attorneys.

Your use of third‑party services is at your own risk and may be subject to additional terms and privacy policies.

11. Disclaimers; No Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES (INCLUDING ALL CONTENT, AI OUTPUTS, AND FEATURES) ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WITHOUT LIMITING THE FOREGOING, REFERU.AI EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR‑FREE;
ANY DEFECTS WILL BE CORRECTED; OR
INFORMATION OR OUTPUTS PROVIDED THROUGH THE SERVICES (INCLUDING AI OUTPUTS, STATISTICS, OR ATTORNEY INFORMATION) WILL BE ACCURATE, COMPLETE, OR RELIABLE.

YOUR USE OF THE SERVICES, AND YOUR DECISIONS ABOUT WHETHER AND HOW TO ENGAGE ANY ATTORNEY, ARE AT YOUR OWN RISK.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

REFERU.AI, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF FORESEEABLE OR WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL REFERU.AI’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED ONE MILLION U.S. DOLLARS (US $1,000,000).

12.1 Data Breaches and Security Incidents

While we implement security measures described in our Privacy Policy, we cannot guarantee that unauthorized third parties will never defeat those measures. To the extent permitted by law, we are not liable for any damages resulting from a breach, unauthorized access, or other security incident, except to the extent caused by our willful misconduct or gross negligence where such limitation is not permitted.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless ReferU.AI, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

your use of the Services;
your violation of these Terms; or
your violation of any law or third‑party rights.

If you are an attorney, this includes claims arising from your professional services or failure to comply with applicable professional or ethical rules.

14. Termination; Suspension

We may suspend or terminate your access to all or part of the Services at any time, with or without cause, and with or without notice, if we believe:

you have violated these Terms or any applicable law;
your use of the Services presents a security, legal, or reputational risk; or
such action is reasonably necessary to protect the Services, other users, attorneys, or third parties.

Upon termination:

your right to use the Services will immediately cease; and
Sections that by their nature should survive (including User Content & License, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, Class Action Waiver, Severability, and Miscellaneous) will survive.

You may stop using the Services at any time. If you wish to delete your account, please follow the instructions in the Services or contact us at support@referu.ai.

15. Dispute Resolution; Binding Arbitration; Class Action Waiver

15.1 Agreement to Arbitrate

You and ReferU.AI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding arbitration under the Federal Arbitration Act (“FAA”), administered by JAMS or another nationally recognized arbitration administrator under its applicable rules.

The seat of arbitration will be Delaware, and the language of the arbitration will be English. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

15.2 Individual Basis Only

Arbitration will be conducted only on an individual basis. You and ReferU.AI agree that class, collective, consolidated, or representative proceedings are not permitted in arbitration or in court.

15.3 Waiver of Class Actions

To the maximum extent permitted by law, you expressly waive any right to participate in a class action or to seek relief on a class or representative basis against ReferU.AI.

15.4 Small‑Claims Court

Notwithstanding the above, either party may bring an individual action in small‑claims court for disputes within that court’s jurisdiction.

15.5 Exception for Injunctive Relief

Either party may seek temporary or injunctive relief in any court of competent jurisdiction to prevent or restrain violations of these Terms or misappropriation of intellectual property or confidential information.

16. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict‑of‑laws rules, and by applicable U.S. federal law (including the FAA for arbitration).

For any dispute that may be brought in court (for example, as permitted under Section 15), the exclusive venue will be the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

17. Changes to the Services and Terms

We may modify or discontinue parts of the Services at any time. We may also update these Terms from time to time. If we make material changes, we will provide notice (for example, by email, in‑product notice, or by updating the Effective Date above).

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

18. Notices; Communications

You agree that we may send you:

service‑related announcements;
verification codes; and
administrative messages (for example, about changes to these Terms or our Privacy Policy).

For SMS/text messages sent by ReferU.AI, you can typically reply STOP to opt out of non‑essential texts from us (though this will not stop communications sent directly by attorneys, who are independent and must be contacted separately).

Notices to ReferU.AI under these Terms must be sent to support@referu.ai or to our mailing address listed in Section 1.

19. Severability; Waiver; Assignment

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

You may not assign or transfer these Terms, in whole or in part, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

20. Miscellaneous

Export and Sanctions. You represent that you are not located in, under the control of, or a resident or national of any country or entity subject to U.S. embargoes or sanctions, and that you will not use the Services in violation of applicable export control or sanctions laws.
Headings. Section headings are for convenience only and do not affect interpretation.
Entire Agreement. These Terms, together with the Privacy Policy and any other policies or guidelines we reference, constitute the entire agreement between you and ReferU.AI regarding the Services and supersede any prior agreements on the same subject matter.
